TERMS AND CONDITIONS

The person applying for the franchisee should be academically and financially sound having a background of running any academic institute.

Minimum covered space required to launch a centre should be around 1000 sq. ft.

The franchisee should develop the required infrastructure, which includes minimum 1 class room with at least 10 students capacity, telephone, white board, proper drinking water, reception, principal office, small library area, computer,etc.

The franchisee fees of Rs. 30,000 (non refundable) will be charged initially. This fee will be valid for two years only and shall be renewed and revised further with mutual consent. In case the franchisee closes its centre due to any unavoidable circumstances within 6 months from the date of commencement, 50% of the franchisee fees will be refunded after the clearance of all dues.

2 sets of study material will be given to the franchisee at no extra cost at the time of agreement.

Sharing Ratio i.e. Franchisee: Disha Institute would be 75:25 for the course fee.

The Franchisee should appoint teachers of good quality & should maintain the standards set by the Institute. The Institute does not make any commitment of providing the teachers/faculty to the franchisee. However, institute will provide special training to one of the teacher nominated by franchisee at no extra cost. The training period will be 1 month and held at Institute head office at New Delhi.

Big sign board/neon board of “Disha institute of Vaastu” is to be displayed on the top of centre.

That the Institute shall provide study material and assignments which are to be used at the Franchisee Centre, prospectus and such other material deemed fit and proper by the Institute to the Franchisee. The Franchise cannot use Institute's study material elsewhere. If it is observed/found so, it may lead to termination of the agreement. However, the Institute shall charge cost towards prospectus from franchisee on actual cost basis. The franchisee shall charge Rs 50 for the prospectus from the students.

That the Institute has the right to appoint any person to look into account books, receipts at Franchisee's premises and Franchisee shall furnish all records, account books, bank receipts, etc. desired by the said person without creating any hindrance in the effective performance of the duties of the said person. The receipts will be audited by the authorized representative of the Institute every 3 months or whenever desired.

That any authorized person of Institute shall be free to take feed back of students with in classroom on a prescribed Performa & shall submit them along with visit report to the Institute.

In case, the franchisee needs Hindi version of the study material, he will have to get it done at his cost & expenses with prior written approval from the Institute.

That the local advertisement, publicity in the form of regional newspapers, banners, hand bills, wall paintings, cinema slides, hoardings, back-lit, tin plates shall be made by the Franchisee at its own cost & expenses.

However, before any advertisement is released, the material being published shall be approved by the Institute invariably and the franchisee shall also prominently indicate the address of the Corporate Office in all its advertisements.

Franchisee shall open bank account of his centre only in any one Nationalized Bank as “Disha Institute of Vaastu - Franchisee”. He cannot open his centre’s account in more than one bank without prior written permission from the Institute.

That the Franchisee shall admit students at its Centre and shall be liable for conducting the classes and meeting needs of the students. In case, the Franchisee closes the Centre after collection of fee, the entire liability shall be of the Franchisee and the Institute is not liable in any manner for any loss caused or likely to be caused to any student on account of the act of the Franchisee of closing the Centre.

Every student shall be issued proper receipt by the franchisee against payment received from the students. No claim of any manner shall be entertained from the students without proper receipt from the centre.

That the Franchisee is an independent Centre and only the name and style of the Institute has been given to the Franchisee by the Institute, hence all liabilities for payment to teachers, employment of personnel, all kinds of government taxes, service tax, payment of wages, compensation package to teachers shall be the liability of the Franchisee alone.

That all information, material, assignment provided by the Institute to the Franchisee has been provided in strict confidentiality and the matter shall not be disclosed to any unauthorized person. Nor shall the Franchisee use the said material after termination of this agreement.

The franchisee shall organize tests regularly .All test papers shall be prepared, photocopied by the franchisee at its own cost.

That before starting the Centre, the Franchisee should ensure that the Centre is properly equipped and has rooms having proper sitting capacity of students. The classrooms should be furnished with the white board. The Franchisee's centre should also be equipped with computers, laser printers, proper drinking water facilities, principal’s office, reception, toilets and other minimum requirements for students. The Centre shall be inspected and approved by the Institute before the Franchisee undertakes any advertisement or starts any admission at the Centre.

That it is the responsibility of the Franchisee to appoint efficient faculty and to maintain the standards of the Institute. It is not the responsibility of the Institute to provide teachers/faculty to the Franchisee. However, in case a specific request is made by the Franchisee in advance to the Institute, teachers can be send by the Institute on payment basis. Presently the charges of the visiting faculty is Rs 800 per class for a duration of up to 2-1/2 hours for the franchisee centre in and around Delhi up to 30 Km distance. No conveyance allowance or other expenses to be paid extra. For franchisee centres in other states, the charges for visiting faculty are different and depend on the mutual agreement.

Qualifying students of the franchisee has to collect their certificates from their respective centres after one month from exam date, at no extra cost. Franchisee is responsible to send the list of qualifying students to the Institute.

Duplicate copy of the students application form should be submitted along with 25% of the fees to the Institute within 7 days from the starting of new batch. No part payment is allowed.

Students desirous of attending get together/picnic/convocation programmes, held by Institute time to time, can join by paying charges directly to the Institute.

All correspondence in any regard should be done with the Corporate Office only.

Initially the agreement will be for 2 years & shall be renewed further with mutual consent.

All disputes are subjected to Delhi Jurisdiction only.
